Standard Operational & Network Agreement
Last Revised: September 1, 2026

Terms of Service

These Terms of Service (“Terms”) govern access to and use of Tharwa EV charging stations, the driver mobile app, operator portal, digital wallet, and physical forecourt services operated by Tharwa Projects Limited.

1.Acceptance of Terms

By creating an account, linking an RFID card, connecting an electric vehicle to any Tharwa EV charger, or registering as a station operator, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Tharwa EV charging network.

2.User Accounts & Eligibility

You must be at least eighteen (18) years of age and hold a valid driver's license in the Federal Republic of Nigeria to operate an EV connected to our charging infrastructure. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your digital wallet or operator account.

3.Charging Sessions & Forecourt Protocol

When utilizing Tharwa EV charging stations, you agree to adhere to the following forecourt safety rules:

  • Safe Connection: Ensure your vehicle charging inlet is clear of debris, water, or physical obstruction prior to connecting the charging coupler.
  • Emergency Stop: The red emergency stop push button on the charger must only be actuated in the event of active electrical arcing, fire, or immediate physical hazard.
  • Forecourt Parking: Charging bays are strictly designated for actively charging electric vehicles. Non-electric vehicles (“ICE-ing”) or fully charged vehicles remaining in bays are subject to immediate towing and penalty fees.

4.Tariffs, Payments & Idle Overstay Fees

Electricity tariffs (charged per kilowatt-hour, kWh) and connection fees vary by station and are clearly displayed in the Tharwa app and on the charger screen prior to session initiation.

Idle Overstay Fee Policy

To maximize charger availability for the entire EV community, a grace period of ten (10) minutes is provided after your vehicle reaches its target charge state. If the vehicle remains plugged in past this grace period, an idle overstay fee (e.g. ₦100/minute) will accrue and be automatically deducted from your digital wallet.

All payments are processed in Nigerian Naira (NGN) through Paystack. Pre-authorized holds placed upon session initiation are strictly temporary; unconsumed funds are automatically reconciled and returned to your wallet balance within seconds of session disconnect.

5.Virtual Queue & Priority Allocations

When joining a virtual forecourt queue at a busy hub, your position is secured in real time. Once a compatible charging bay is reserved for your vehicle, you have a five (5) minute window to arrive and connect the cable. Failure to connect within this grace window will automatically forfeit your slot and allocate the bay to the next driver in line.

6.Charge Point Operator (CPO) Obligations

Operators connecting chargers to the Tharwa EV SaaS platform represent and warrant that all connected hardware complies with Nigerian Electricity Regulatory Commission (NERC) and Standards Organisation of Nigeria (SON) regulations. Operators must maintain electrical safety earthing, surge protection, and clear bay signage. Tharwa Projects Limited reserves the right to suspend or disconnect chargers exhibiting electrical telemetry faults.

7.Limitation of Liability

To the maximum extent permitted under applicable Nigerian law, Tharwa Projects Limited shall not be liable for any indirect, incidental, or consequential damages arising from: (a) pre-existing electrical or battery defects within a vehicle, (b) improper use of third-party adapters not certified by vehicle manufacturers, or (c) interruptions in grid utility electricity supply from regional distribution companies (DisCos).

8.Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or the use of our charging network shall first be submitted to informal mediation with our customer support team. If unresolved after thirty (30) days, disputes shall be settled by arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act 2023.
